These terms are a legal agreement (this “Agreement”) between you and PickNik Inc. d/b/a PickNik Robotics (“PickNik”, “we”, “us”) covering the free MoveIt™ Pro academic license (the “MoveIt License”) issued and made available to you through our academic signup page. You accept them when you submit the signup form, when you submit any other application form we provide for the academic license, or when you activate or use a license key we issue to you, whichever happens first. If you do not accept them, do not apply for or use the MoveIt License, immediately discontinue any use of the MoveIt Pro software (the “Software”), and do not use the Software in the future.
THESE TERMS CONTAIN PROVISIONS THAT SIGNIFICANTLY AFFECT YOUR RIGHTS AND REMEDIES. SECTION 14 DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. AS DETAILED FURTHER IN SECTION 14, YOU ACKNOWLEDGE AND AGREE THAT THE MoveIt Pro SOFTWARE IS PROVIDED AND MADE AVAILABLE TO YOU STRICTLY “AS IS.” SECTION 15 LIMITS PICKNIK’S TOTAL LIABILITY TO YOU AS DETAILED IN SUCH SECTION AND EXCLUDES CONSEQUENTIAL, INDIRECT, AND INCIDENTAL DAMAGES. SECTION 16 REQUIRES YOU TO INDEMNIFY PICKNIK AGAINST THIRD-PARTY CLAIMS ARISING FROM YOUR USE OF THE SOFTWARE, INCLUDING ANY COMBINATION OR USE OF THE MoveIt Pro SOFTWARE WITH ROBOTICS IN VIOLATION OF THE RESTRICTIONS ON YOUR USE PRESENT IN THESE TERMS. SECTION 3 RESTRICTS YOUR USE OF THE MoveIt Pro SOFTWARE TO SIMULATION ONLY. YOU ACKNOWLEDGE AND AGREE THAT CONNECTING THE MoveIt Pro SOFTWARE TO ANY ROBOT OR HARDWARE IS A BREACH OF THIS AGREEMENT, REGARDLESS OF WHAT THE SOFTWARE TECHNICALLY PERMITS.
This Agreement is complete in itself. It is not a purchase, and it is the only agreement that governs your academic license.
The license is granted to you personally, not to your university, employer, or any other organization. You are not agreeing to these terms on behalf of your institution or such individual, and you are not binding such institution or individual. If your institution requires or wishes to obtain a license in its own name, contact us.
The MoveIt License granted pursuant to this Agreement is solely intended for academic use by an individual. An individual conducting research, teaching, and/or learning at a degree-granting university or college is within the anticipated and allowed individuals that are eligible to receive a license. Accordingly, enrolled students, faculty, and academic staff of such an institution may apply.
You must be at least 18 years old. We do not issue academic licenses to minors. If you are under 18 years old, PickNik reserves the right to refuse you a MoveIt License and reserves the right to terminate your MoveIt License in the event that we discover you are under 18 years of age.
Who does not qualify. An academic license is not available to the following entities, even where the individual applying for the MoveIt License and access to the Software sits inside, alongside, or is otherwise affiliated with a university:
Ordinary academic departments, teaching laboratories, and research groups inside a degree-granting university are not excluded by the first bullet, and holding a government or industry research grant at such an institution does not by itself disqualify you, provided your use meets Section 4.
If you are at one of the excluded organizations, you may contact us about a paid license, but you will not use a MoveIt License under this Agreement. If we discover that you applied for a MoveIt License through an individual or otherwise received one in contravention of this Agreement and the restrictions herein, we reserve the right to terminate your MoveIt License and access to the Software upon such discovery.
At all times under this Agreement, you must continue to qualify. Eligibility is not only a condition of applying; it is a condition of holding and utilizing the MoveIt License granted to you. If you stop being an enrolled student, faculty member, or academic staff member at a degree-granting university or college, you must stop using the Software immediately and notify us immediately at hello@picknik.ai. Graduating, finishing a program or fellowship, leaving your institution, beginning employment or an internship with a company, or anything materially affecting the circumstances communicated by your application all end your eligibility, whether or not your access key has expired. In accordance with Section 18, we reserve the right to request (and you will promptly provide following such request) any information necessary for PickNik to verify your eligibility for use of the MoveIt License granted hereunder. If you do not provide that proof or otherwise respond in a manner confirming eligibility to PickNik’s satisfaction within a reasonable time following the request, we may revoke your license without any liability to PickNik.
When you submit the form, we match your email address’s domain against a list of university domains. The list covers universities worldwide, including domains that do not end in .edu. We check a recent copy of it, so a domain added recently may not be recognized yet. Domains in the countries and regions described in Section 6 are never approved automatically.
We decide who receives a license in our sole discretion, and we may decline any application for any reason or no reason.
Subject to these terms, PickNik grants you a personal, non-exclusive, non-transferable, non-sublicensable, revocable license, for the term described in Section 10, to access, install, and use the Software in executable form in simulation only, solely for academic research, teaching, and learning, subject further to the limitations on use in Section 4.
Simulation only means that the Software may run only against simulated robots and simulated sensors. The Software may not be connected to or otherwise utilized with physical robots or sensors, to command, actuate, teleoperate, monitor, or exchange data with any physical robot, manipulator, end effector, actuator, gripper, or sensor, whether local, remote, or cloud-hosted, and whether directly or through any intermediate software, script, network, service, or person. Hardware-in-the-loop setups are additionally not permitted. Simulation, testing, development, and prototyping are permitted only within these limits.
The limits in this Section and in Section 4 (simulation only, academic use, one machine, one license per person) are conditions and explicit requirements of the license, not merely promises. Use outside them is outside the scope of the license, is unlicensed use of PickNik’s copyrighted software, and infringes PickNik’s and its licensors’ rights, in addition to breaching this Agreement. Accordingly, PickNik may terminate the applicable MoveIt License without notice to you and without liability for such termination and pursue any remedy available to it upon such discovery.
All rights not expressly granted here are reserved by PickNik and its licensors. No implied licenses are granted.
You promise that you will not:
If your use changes so that any of the above would apply, you will immediately stop using the Software under the applicable MoveIt License and cease usage of the Software until you have contacted us for a paid commercial license, which will then govern your use of the Software pursuant to the terms and conditions of the commercial license.
Except as these terms expressly permit, or as PickNik authorizes in advance in writing, you will not, and will not permit anyone else to:
These restrictions do not stop you from doing what the Software is built for. You may write, build, run, own, and publish your own objectives, behaviors, robot configurations, workspaces, and other content that uses the Software’s documented and published interfaces, and you may publish research results, papers, datasets, and benchmarks produced with the Software. You may not publish or distribute the Software itself, any part of it, or your license key.
The Software is subject to United States export control and sanctions laws, and may be subject to the laws of other countries.
You must comply with all applicable economic sanctions, export control, import, and trade embargo laws, rules, and regulations at all times while you hold a MoveIt License.
You represent and warrant, both when you apply and continuously for as long as you hold a license, that:
If any of these stops being true, you must stop using the software immediately and notify us at hello@picknik.ai.
We exclude university domains in the countries and regions named above from automatic approval, and we may decline, withhold, suspend, or revoke any license on export-compliance grounds at any time, without notice and without liability for such decision.
The academic license is for simulation only. It does not permit you to run the Software on a physical robot. Robots can move unexpectedly and can cause serious injury, death, and property damage, which is why hardware use requires a paid commercial license.
Results obtained in simulation do not predict how a real robot will behave. Do not rely on simulated behavior to judge whether something is safe to run on hardware.
If you operate any robot or other equipment in connection with the software, in breach of this Agreement or otherwise, you do so entirely at your own risk and you are solely responsible for its safe operation, including risk assessment, guarding, emergency stops, applicable safety standards, and keeping people clear of the working area. You acknowledge and agree that PickNik will have no responsibility or liability for any such use in violation of the terms of this Agreement.
The Software is not designed, tested, or certified for safety-critical use, and must not be used in any application where a failure could result in injury, death, or serious property or environmental damage.
You acknowledge and agree that the MoveIt License solely gives you free access to the Software, but does not include any sort of support package for your use of the Software. We make certain resources available to you for your use in connection with the MoveIt License and use of the Software; however, you acknowledge and agree that this does not include any obligation of support or help from PickNik.
PickNik has no obligation to provide updates, upgrades, bug fixes, or new versions under this Agreement or otherwise.
PickNik and its licensors own the software and all intellectual property rights in it. This Agreement licenses the software to you; it does not sell or assign it, and you receive no ownership interest of any kind.
You retain ownership of original research, data, and results you independently create using the Software, subject to the following. Any modification to, or derivative work of, the Software itself remains the exclusive property of PickNik, and you hereby assign to PickNik all right, title, and interest in any such modification or derivative work; to the extent assignment is not permitted, you grant PickNik a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, reproduce, and distribute it for any purpose. Nothing in this Section limits the rights granted in Section 12.
This Agreement gives you no rights in PickNik’s or its licensors’ names, logos, or trademarks, including MoveIt and MoveIt Pro. PickNik will allow you to name the Software factually to describe work you did with it, including in papers, talks, and repositories, and you acknowledge and agree that, in the event that you describe work or results performed or resulting from your use of the Software, you will cite it when you publish any such work; provided, however, that as stated in Section 5, you may not use our marks in a way that suggests we endorse or sponsor you or your work.
Revoking a license means deactivating your MoveIt License key so it no longer works. Revocation takes effect immediately and without notice, and Section 10’s notice and cure provisions do not limit it. Revoking your key also terminates your license, with the consequences described in Section 10.
PickNik may revoke a license if it has reason to believe or suspects that:
The Software is designed to stop starting once your MoveIt License has been revoked, at or before its next license check. A revoked license still counts as your one MoveIt License until its original expiry date as set forth in Section 10, so the same email address cannot receive a new license or access key before then, even if your access has been revoked prior to such term.
If you give us feedback or suggestions about our products, services, or business, we may use that feedback without any obligation to you, and you assign to us all right, title, and interest in it. To the extent you cannot assign it, you grant PickNik a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use that feedback for any purpose. This covers only the feedback you choose to send us. It does not give us rights in your research, your data, or your results.
Some open source software may be provided along with the Software. Each item of open source software is licensed under the terms that accompany it, and those terms may differ from the terms of this Agreement. Nothing here limits your rights under, or grants you rights that supersede, the license terms applicable to that open source software. You acknowledge and agree that PickNik is not responsible for and will have no liability regarding your use of the open source software and that you alone are responsible for reviewing the applicable terms thereof.
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, PICKNIK DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR COURSE OF PERFORMANCE.
PICKNIK DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED, THAT IT WILL MEET YOUR REQUIREMENTS, OR THAT IT WILL BE FREE FROM SECURITY VULNERABILITIES OR MALWARE. PICKNIK DOES NOT WARRANT THAT THE SOFTWARE IS SUITABLE FOR, OR MAY BE USED WITH, ANY PHYSICAL ROBOT, HARDWARE, OR OTHER APPLICATION INTENDED TO BE COVERED IN A COMMERCIAL LICENSE. BECAUSE PICKNIK CANNOT CONTROL YOUR NETWORK, YOUR HARDWARE, OR WHAT YOU UTILIZE THE SOFTWARE FOR, PICKNIK IS NOT RESPONSIBLE OR LIABLE FOR YOUR USE OF THE SOFTWARE OR ANY CONNECTIVITY OR NETWORK ISSUES RESULTING FROM YOUR USE OR ACCESS TO THE SOFTWARE.
PICKNIK PROVIDES NO INDEMNITY OF ANY KIND UNDER THIS AGREEMENT, INCLUDING FOR ANY CLAIM THAT THE SOFTWARE INFRINGES THE RIGHTS OF A THIRD PARTY.
TO THE FULLEST EXTENT PERMITTED BY LAW, PICKNIK WILL NOT BE LIABLE FOR ANY CONSEQUENTIAL, INDIRECT, EXEMPLARY, SPECIAL, PUNITIVE, OR INCIDENTAL DAMAGES, INCLUDING ANY LOST DATA, LOST PROFITS, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATING TO THIS AGREEMENT OR THE SOFTWARE, EVEN IF PICKNIK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
PICKNIK’S TOTAL CUMULATIVE LIABILITY ARISING FROM OR RELATING TO THIS AGREEMENT OR THE SOFTWARE WILL NOT EXCEED TEN UNITED STATES DOLLARS (US$10).
TO THE FULLEST EXTENT PERMITTED BY LAW, PICKNIK EXPRESSLY DISCLAIMS, AND YOU UNDERSTAND AND AGREE, THAT PICKNIK WILL NOT BE LIABLE FOR ANY USE YOU MAKE OF THE SOFTWARE. YOU RELEASE AND FOREVER DISCHARGE PICKNIK FROM ALL CLAIMS RELATING TO YOUR USE OF THE SOFTWARE, OTHER THAN CLAIMS ARISING FROM PICKNIK’S FRAUD OR WILFUL MISCONDUCT.
THESE LIMITATIONS APPLY BECAUSE THE LICENSE IS PROVIDED FREE OF CHARGE, AND THEY ARE A FUNDAMENTAL BASIS ON WHICH PICKNIK OFFERS IT.
The cap in this Section limits PickNik’s liability to you. It does not limit PickNik’s remedies against you, and does not apply to amounts you owe PickNik under Section 16 or to PickNik’s rights for use outside the scope of the license.
Injunctive relief. You agree that any breach of this Agreement involving PickNik’s intellectual property rights, the scope or conditions of the license (including the simulation-only and academic-use limitations), export or sanctions compliance, safety obligations, or any other obligation whose breach would cause harm that money cannot adequately repair, would cause PickNik irreparable harm, and that PickNik may seek injunctive or other equitable relief for any such breach, without posting a bond and without the requirement to prove actual damages, in addition to any other remedy available to it at law or in equity.
Nothing in this Agreement excludes or limits any liability that cannot be excluded or limited under the law that applies to you, including liability for death or personal injury caused by negligence, or for fraud.
You will defend, indemnify, and hold harmless PickNik, its affiliates, licensors, successors, assigns, and its and their respective officers, directors, employees, and agents from and against any third-party claim, demand, loss, damage, liability, cost, or expense, including reasonable legal fees, arising from or relating to:
We will give you prompt written notice of any claim for which we seek indemnity; provided that a failure to give prompt written notice will not relieve you of your obligations under this Section 16, unless you are materially prejudiced by the delay and in such event then it will relieve you solely to the extent that you are materially prejudiced by such delay. You will reasonably cooperate with PickNik in the defense of the claim at your own expense. We may assume sole control of the defense and settlement of a claim at our own expense. You may not settle any claim in a way that admits fault by PickNik, imposes any obligation or payment on PickNik, or affects PickNik’s rights, without our prior written consent. This Section does not apply to the extent the law that applies to you does not permit it.
The signup form collects your first and last name, email address, institution (if applicable), and the IP address the request came from, and our anti-bot check processes your IP address. We use these to check eligibility, issue and manage your license, and prevent abuse. We also keep your contact details in our CRM and may send you email about our products, which you can opt out of at any time.
While you use the Software, it sends PickNik license checks and product usage information, including a startup signal linked to your MoveIt License, which behaviors and objectives you run, and the specifications of the machine the Software runs on. It does not send your robot data, camera images, source code, or files. The Privacy Policy describes all of this, including how long we keep it and how any such data is used by us.
On our request, you will promptly confirm to us in writing that your use of the Software complies with the terms of this Agreement, and give us reasonable information about where and how you have installed and used it. Further, you agree to promptly provide any requested information regarding your eligibility under this Agreement, including, but not limited to, an updated proof of enrollment. Failing to respond within a reasonable time is a ground for revocation under Section 11.
The MoveIt License is offered at PickNik’s sole discretion. We may stop issuing keys or end the program entirely, including by terminating any granted licenses, at any time and without prior notice to you. Ending the program does not by itself terminate a license we have already issued, but ending the program may entail a full termination of the academic licenses granted under this Agreement in our sole discretion. In the event that we determine to end the application program and allow your MoveIt License to continue, Section 10 will control as to how the MoveIt License will end or be terminated.
We may also change the terms of this Agreement in our sole discretion without prior notice to you. We post the new version on this page with a new date; however, in the event that there is a change that materially reduces your rights, we will email the address your MoveIt License was issued to in order to provide notice of the change. A change applies from the date we post it and does not apply retroactively to use before then. If you do not accept a change, stop using the software; that is your only remedy. A change to who qualifies applies to new applications and to renewals, not to a license already issued.
